Introduction

Welcome to Sapien’s data submission and data labeling projects, activities, and tasks.

Sapien, established in 2023, is building the world’s largest and most diverse network of human data labelers that the AI industry relies on to power its high-performance models. Sapien’s novel approach to human data labeling through gamification creates positive reinforcement loops that ensure high engagement from labelers and optimal data quality for customers.

Sapien serves AI customers across multiple industries, including healthcare, web3, education, and leading LLMs. Sapien’s commitment to empowering anyone to earn a living wage by producing quality data while having fun is setting a new standard for how humans and AI work together.

These Data Submission and Data Labeling Projects, Activities, and Payed Tasks Participation Terms (“Terms”) govern your participation in the data submission and labeling projects and activities provided by Sapien (“we,” “us,” “our”), including when you participate in our payed tasks. Please read them carefully.

1. Acceptance of Terms

By accessing our platform and participating in our data submission and labeling projects and activities, including when you participate in our tasks, you agree to be bound by these Terms and any additional terms applicable to specific projects, tasks, challenges, or activities you participate in.

2. Eligibility

2.1 2.1. Participation in data submission and labeling activities: To participate in our data submission and labeling activities, you must meet the specific eligibility criteria outlined for each task. These criteria may include, but are not limited to, age requirements, skill level, and geographical location. By participating in a task, you represent and warrant that you meet the eligibility requirements specified for that task

2.2. Participating in our tasks: To participate in our tasks you must:

  • Be at least 18 years old (or other age of legal capacity below the limit in accordance with the laws of your country).
  • Create an account on our platform. By creating an account, you agree not to provide any false or misleading information about your identity or location or your skills, and you agree to correct any information that is or becomes false or misleading. We reserve the right to suspend or terminate the account or access to our application of anyone who provides false, inaccurate, or incomplete information in creating or maintaining their account.
  • Register for your own account with a username and password. You are responsible for safeguarding and maintaining the confidentiality of your username and password and agree not to share your username or password with anyone. You are responsible for protecting your username and password. You agree to notify us immediately if you suspect or become aware of any unauthorized use of your account or any unauthorized access to your password. You further agree not to use the Account or log in with the username and password of another participant.
  • Before becoming eligible to participate in tasks and earn rewards, you may be required to complete a specified amount of labeling work on our platform. This initial labeling work helps ensure that all participants are familiar with our standards and processes.
  • In addition to the above, you must meet the specific eligibility criteria outlined for each task. These criteria may include, but are not limited to, age requirements, skill level, and geographical location. By participating in a task you represent and warrant that you meet the eligibility requirements specified for that challenge.

3. Data Submission and Labeling Activities

3.1 Participation: Each project, or task, will have specific rules, requirements, and rewards. By participating in a project or task, you agree to comply with the relevant e rules and requirements.

3.2 Submission: All data submissions must be original and created or labeled by you. You must not submit data that infringes on the intellectual property rights of others.

3.3 Evaluation: Submissions will be evaluated based on criteria specified in each task. We reserve the right to disqualify any submission that does not meet the criteria or violates these Terms.

4. Rewards

4.1 Distribution: Rewards will be distributed to participants whose submissions meet the rules and requirements of the data submission project, data labeling project, or task The form and amount of rewards will be specified in each project or task

4.2 Taxes: You acknowledge and agree that it shall be your sole obligation to report as self-employment income all compensation received from Sapien. You will be liable for the payment of all income taxes upon the receipt of any funds from Sapien. It is your responsibility to comply with any local, state, provincial, federal, or international tax laws and regulations that apply to you. You must ensure that all necessary tax filings and payments are made on a timely basis and maintain accurate records to support your tax reporting obligations. Sapien is not responsible for withholding any taxes on your behalf, and you agree to indemnify and hold harmless Sapien from any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or related to your failure to report and pay any applicable taxes.

5. Confidentiality

5.1 Definition of Proprietary Information: During the course of participating in our data submission and labeling activities and/or tasks, you may have access to and be entrusted with confidential or proprietary information related to Sapien’s business or the business of Sapien’s clients ("Proprietary Information"). Proprietary Information includes, but is not limited to:

  • Trade secrets, inventions (whether patentable or not), discoveries, and improvements.
  • Concepts, know-how, ideas, techniques, processes, methodologies, testing procedures,
    design and functional specifications, analysis and performance information, user
    documentation, internal documentation, and details of our products and services.
  • Algorithms, formulas, specifications, modules, scripts, data, databases, software design
    and architecture, computer programs, source code, object code, and other computer
    code.
  • Technical or other representations, documentation, diagrams, schematics, and flow
    charts.
  • Names of clients, suppliers, and strategic partners.
  • Technical, business, financial, marketing, customer, supplier, and product development
    plans, schedules, forecasts, strategies, and materials.
  • Other similar information, provided it is not available to the public and not independently
    generated by you without reference to our Proprietary Information.
  • Proprietary or confidential information of any third party who discloses such information
    to us in the course of our business.

5.2 Confidentiality Obligations: You acknowledge that disclosure of any Proprietary Information to any third party, except in the course of performing your duties, is strictly prohibited. Accordingly, you agree to:

  • Hold all Proprietary Information in strict confidence and take all reasonable precautions to protect it.
  • Not divulge any Proprietary Information or derived information to any third party, including any affiliated entity.
  • Use Proprietary Information only for the purpose of performing services related to the relevant task.
  • Not copy or create derivative works from any Proprietary Information.

5.3 Enforcement and Remedies: You agree that these restrictions are reasonable to protect our business interests and waive any defenses to the enforcement of our rights. Due to the unique nature of Proprietary Information, there may be no adequate remedy at law for any breach of your obligations. Any breach may result in irreparable harm, entitling us to seek equitable relief in addition to legal remedies. You must notify us immediately upon any unauthorized release or breach and cooperate with us to regain possession and prevent further unauthorized use or disclosure.

6. Intellectual Property

6.1 Your Submissions: By submitting or labeling data, you irrevocably fully assign to the Sapien all rights, title, and interest in and to all such data and/or your work product, including, without limitation, any copyrights, patents rights, trade secret rights, trademark rights or other intellectual property or proprietary rights relating thereto of any sort throughout the world. If any such data or work product cannot be assigned under applicable law, you grant Sapien an exclusive, assignable, irrevocable, perpetual, worldwide, sub licensable (through one or multiple tiers), royalty-free, unlimited license to use, reproduce, distribute (through one or multiple tiers), create derivative works of, publicly perform, publicly display, digitally perform and display, make, have made, sell, offer for sale and import such work product in any media now known or hereafter known. This provision is without prejudice to any rights you have in relation to your personal data under the applicable data protection laws and regulations and as described in our Privacy Notice available here.

6.2 Our Content: All Sapien content, including text, graphics, logos, and software, is our property or the property of our licensors and is protected by intellectual property laws. You may not use our content without our prior written consent.

7. Privacy

7.1 Data Collection: We collect and use personal information in accordance with our Privacy Notice available here.

7.2 User Content Privacy: Users should avoid submitting any content that contains personal information.

8. Prohibited Conduct

8.1 Prohibited Behavior for All Participants: All participants are strictly prohibited from the use of automation software and bots (unless the platform provides such tools), cheats, exploits, hacks, mods, or any unauthorized third-party software designed to modify or interfere with the data submission or labeling tasks or challenges.

8.2 Prohibited Content: All participants are strictly prohibited from submitting any content that:

  • Violates any third-party rights, including intellectual property rights and privacy rights.
  • Contains sexually explicit material, violence, or other sensitive content.
  • Is illegal or promotes illegal activities.
  • Otherwise violates any applicable laws or regulations.

8.3 Multiple Account Submissions: Participants in our tasks are strictly prohibited from creating and making submissions from multiple accounts. Each participant is allowed to create and use only one account to participate in our tasks. Any attempt to create multiple accounts to gain an unfair advantage, m, or otherwise violate these Terms is strictly prohibited.

8.4 Disqualification and Account Termination: Sapien reserves the right to disqualify any submissions that are found to be in violation of this policy. Additionally, we may suspend or terminate the accounts involved in such activities and withhold any rewards.

9. Sanctions Compliance

By participating in Sapien’s data submission and data labeling projects and activities, including when you participate in our tasks, you represent and warrant that you are not located in, under the control of, or a national or resident of any country that is subject to economic sanctions, trade embargoes, or similar restrictions imposed by the United Nations, European Union, United States, or any other applicable government authority ("Sanctioned Countries"). You also represent and warrant that you are not listed on any sanctions list, including, but not limited to, the U.S. Department of the Treasury’s Office of Foreign Assets Control (OFAC) Specially Designated Nationals (SDN) List or any other restricted parties lists maintained by relevant government authorities

Sapien reserves the right to immediately terminate your participation in its data submission and data labeling projects and activities and tasks if we determine, in our sole discretion, that you have violated this representation and warranty. Additionally, any rewards or payments due to you may be withheld or forfeited in such cases.

10. Termination

To the extent permitted by law, we reserve the right to suspend or terminate your participation in our data submission and data labeling projects and activities and pait tasks at any time, with or without cause, and with or without notice.

11. Disclaimer of Warranties

OUR DATA SUBMISSION AND DATA LABELING PROJECTS AND ACTIVITIES, AND tasks ARE PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

12. Limitation of Liability

To the fullest extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from:

12.1 Participation or Inability to Participate: Your participation of or inability to participate in our data submission and data labeling projects and activities, tasks, or any related services.

12.2 Submissions: Any data submitted by you, including any errors or omissions in your submissions or any loss or damage of any kind incurred as a result of the use of any data, including personal data submitted, posted, transmitted, or otherwise made available via our tasks. Your submission, posting, or transmission of any content that contains personal information, including but not limited to personal data of third parties, sensitive personal information, or any other data that is protected under applicable data protection laws.

12.3 Interruption or Cessation: Any interruption or cessation of transmission to or from our services or any bugs, viruses, trojan horses, or the like that may be transmitted to or through our application by any third party.
12.4 Tax Liability: Any tax liabilities, obligations, or consequences arising from or related to the rewards or payments you receive through our tasks or tasks. You are solely responsible for reporting and paying any applicable taxes on the rewards or payments you receive. Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so the above limitations may not apply to you.

13. Indemnification

You agree to indemnify and hold harmless Sapien, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including, but not limited to, reasonable attorneys' fees, arising out of or in any way connected with:

13.1 Your Participation in our data submission and data labeling projects and activities and
tasks: Any use or misuse of data submission and data labeling activities and tasks by you,
including any data submitted by you, any breach of these Terms, or any violation of applicable
laws or regulations.

13.2 Confidentiality: Any breach or unauthorized use or release of Proprietary Information.

13.3 Submissions: Any claims that any data submitted by you infringes, misappropriates, or violates any intellectual property rights, privacy rights, or other rights of any third party.

13.4 Personal Data: Any use, handling, or processing of personal data submitted by you. This includes any claims related to the unauthorized use, loss, or disclosure of personal data resulting from your submissions or actions.

13.5 Tax Liability: Any tax liabilities, obligations, or consequences arising from or related to the rewards or payments you receive through our tasks. You are solely responsible for reporting and paying any applicable taxes on the rewards or payments you receive.

13.6 Disputes: Any disputes you have with other users or third parties, including any claims or actions brought against you by third parties as a result of your interactions or transactions with them.

You agree to cooperate as fully as reasonably required in the defense of any claim. We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, and you agree not to settle any such matter without our prior written consent.

14. Dispute Resolution

Before initiating any formal dispute resolution process, you agree first to contact us at legal@sapien.io to provide us with an opportunity to resolve your concerns informally. You must provide a description of the dispute, your desired resolution, and any supporting documentation. We will attempt to resolve the dispute informally within 30 days from the date you submit your dispute

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province ofOntario and the federal laws of Canada applicable therein, without regard to its conflict of law principles.

16. Changes to Terms

We reserve the right to modify these Terms at any time. Any changes will be effective immediately upon posting the revised Terms on our webpage. Your continued participation in the data submission and data labeling projects, activities, and tasks after the posting of changes constitutes your acceptance of such changes.
